The hearing follows a March 12, 2026 order from NCLT Mumbai bench, with the company fulfilling regulatory compliance by publishing newspaper advertisements in Business Standard and Navshakti.
Corporate Restructuring and Rationale
The Transferor Company is a wholly owned subsidiary of the Transferee Company. The three main reasons for this move are the simplification of the group's structure, the enhancement of the group's operational efficiency, and the consolidation of the group's real estate business under a single entity.
Embellish Houses has a paid-up capital and net worth of just ₹3.66 lakh each, and it has not generated any revenue. Embellish Houses is a company that was converted from Embellish Houses LLP to a private limited company on October 31, 2025. EMBELLISH HOUSES LLP is a Limited Liability Partnership company and was incorporated on Feb 06, 2019 in India.
Operational and Strategic Benefits
The amalgamation will consolidate Godrej's real estate operations, fully leveraging business synergies, simplify the corporate structure by reducing the number of subsidiaries, and enhance administrative and resource efficiency.
